1. OVERVIEW & ACCEPTANCE
Hybrid Suppliers: A “Hybrid supplier” on Paigos is both the creator/seller of travel packages (a “Supplier”) and a promoter/Supplier who markets these packages to their audience.
Acceptance of Terms: By accessing or using the Paigos platform (“Platform” or “Service”) as a Hybrid Supplier, you confirm that you have read, understood, and agree to be bound by these Terms, as well as any additional Terms of Service or Policies referenced herein. If you do not agree with these Terms, you may not participate as a Hybrid Supplier on Paigos.
Age & Authority: You represent that you are at least 18 years of age (or the age of majority in your jurisdiction) and have the legal authority to enter into this agreement.
2. ACCOUNT CREATION & ONBOARDING
Supplier Application: Before gaining access to Hybrid Supplier tools, you may be required to complete a form or application providing business, social media, and travel-related information (e.g., travel agency license or accreditation).
Account Security: You are responsible for safeguarding your account credentials. Activities under your account are deemed authorized by you unless you notify Paigos of suspected unauthorized use.
Accurate Information: All information you provide must be truthful, accurate, and up to date. Paigos reserves the right to suspend or terminate accounts containing false or misleading information.
3. CREATION & MANAGEMENT OF TRAVEL PACKAGES
Package Listings: As a Hybrid Supplier, you will create and manage travel packages (“Packages”) through the Platform. Each Package must include accurate details regarding itinerary, pricing, refund and cancellation policies, and any restrictions or special conditions.
Compliance & Authenticity:
You agree to comply with applicable travel regulations and advertising standards (e.g., FTC guidelines, consumer protection laws).
You must have the rights to any images or descriptions used in your Package listings.
Pricing & Availability: You alone determine the pricing and availability of your Packages. Paigos does not guarantee any minimum sales, revenue, or audience reach.
Responsibility for Services: You acknowledge that you (or your affiliated travel agency) are solely responsible for delivering the services you advertise—such as hotel accommodations, tours, flights, or experiences included in your Package.
4. MARKETING & PROMOTIONS
Supplier Communications:
You may promote your Packages via your personal social media channels or other marketing outlets.
Where required by law or platform policy, you agree to disclose your status as both a promoter and the Package provider (i.e., “Hybrid Supplier”).
Use of AI: You acknowledge that Paigos may use AI tools to help draft or distribute communication templates. You will, however, remain responsible for the final content you post or share.
Intellectual Property: By providing Paigos with marketing materials (e.g., images, copy, branding assets), you grant Paigos a non-exclusive, worldwide, royalty-free license to display, reproduce, and distribute these materials in connection with marketing and operating the Platform.
5. PAYMENT, FEES & COMMISSIONS
Transaction Processing:
Paigos or its third-party payment processor will handle the transaction from the Traveler, including collecting payment and issuing refunds (if applicable).
You agree to abide by the payment processor’s terms and promptly provide any requested information needed for compliance (e.g., tax forms).
Payouts:
After a Traveler’s booking is completed and payment is captured, Paigos will facilitate a payout to you according to the schedule outlined on the Platform (less any applicable fees or commissions).
You are responsible for any applicable taxes or reporting obligations related to income received.
Chargebacks & Disputes:
If a Traveler disputes a charge, Paigos may place a hold on the associated funds until the dispute is resolved.
You agree to cooperate with Paigos in investigating any disputes or chargebacks.
6. CANCELLATIONS & REFUNDS
Supplier-Initiated Cancellations:
If you cancel a Package before the trip commences, the Traveler must receive a full refund, consistent with the policies displayed at the time of booking.
Multiple or repeated cancellations without justification may result in account suspension or termination.
Traveler-Initiated Cancellations:
You may set your own refund policy (e.g., full refund if canceled 30 days before travel, partial refund if canceled closer to the trip start date, or non-refundable components). These details must be clearly stated in your Package listing.
Paigos is not liable for administering refunds beyond facilitating the payment transaction; ultimate responsibility for fulfilling refunds lies with you.
Force Majeure & Travel Disruptions:
Should a trip be disrupted due to circumstances beyond your control (e.g., natural disasters, pandemic restrictions, airline strikes), you are expected to make reasonable efforts to accommodate the Traveler or provide a refund or alternative arrangements in line with your stated policies.
7. DISPUTE RESOLUTION WITH TRAVELERS
First-Tier Resolution: You are the primary point of contact for Traveler complaints or claims regarding the Package (e.g., itinerary changes, quality concerns, or missing accommodations). You agree to make good-faith efforts to resolve disputes promptly.
Paigos Mediation: If a Traveler escalates a dispute to Paigos, you authorize Paigos to review the relevant communications and bookings. Paigos may propose a resolution or may issue refunds, in whole or part, at its discretion, based on your stated cancellation/refund policies and the factual circumstances.
Repeated Claims: Paigos reserves the right to suspend or remove you from the Platform if you accumulate multiple unresolved claims or fail to maintain quality service.
8. INTELLECTUAL PROPERTY & DATA USAGE
Hybrid Supplier Content: By creating, posting, or otherwise making available any content (including videos, photos, social media posts, or other media) that references or promotes a travel package associated with Paigos, such as by including an affiliate link or direct reference to a Paigos package, you grant Paigos a non-exclusive, worldwide, royalty-free, sublicensable, and transferable license to use, reproduce, distribute, modify, adapt, create derivative works from, publicly display, and publicly perform such content in connection with marketing, advertising, or promoting the Paigos Platform or specific travel packages and showcasing such content on Paigos websites, mobile applications, email campaigns, or social media channels.
Platform IP: The Platform’s trademarks, logos, and other proprietary materials are owned by Paigos or its licensors. Except as expressly permitted, you shall not use Paigos’ trademarks or branding without prior written consent.
Publicly Available Data: You acknowledge that Paigos may use publicly available information (including Supplier social media posts) to facilitate marketing or outreach. Paigos endeavors to respect your privacy, but you grant permission for Paigos to reference public content to demonstrate marketing approaches or template messages. If you have concerns about specific content usage, you may reach out to Paigos for clarification or request an exception. However, unless otherwise agreed in writing, your participation as a Hybrid Supplier indicates acceptance of this license grant for all public available data
9. TERMINATION & ACCOUNT MANAGEMENT
Termination by Paigos:
Paigos may, at its sole discretion, suspend or terminate your Hybrid Supplier account if you violate these Terms, engage in fraud, repeatedly receive negative claims, or otherwise harm the Platform or its users.
In cases of termination, any outstanding payments owed will be handled in accordance with Section 5, minus any amounts necessary to cover refunds or dispute resolution.
Termination by You:
You may request to terminate your account by contacting admin@paigos.com.
However, any bookings or obligations existing prior to termination must still be honored (including pending or ongoing travel packages).
10. DISCLAIMERS & LIMITATION OF LIABILITY
Disclaimer of Warranties:
The Paigos Platform is provided “as is” and “as available.” Paigos makes no warranties, express or implied, about its reliability or suitability for your particular purposes.
Paigos does not guarantee that you will attract a certain number of bookings or earn certain revenue from your Packages.
Limitation of Liability:
To the fullest extent permitted by law, Paigos shall not be liable for any direct, indirect, incidental, special, punitive, or consequential damages arising out of or related to your use of the Platform or your engagement with Travelers.
This limitation applies even if Paigos has been advised of the possibility of such damages.
If, despite this limitation, Paigos is found liable, our aggregate liability shall not exceed the total fees collected by Paigos directly attributable to your disputed transaction(s).
11. DISPUTE RESOLUTION & GOVERNING LAW
Arbitration Agreement
You and Paigos agree that any dispute or claim arising out of or relating in any way to your use of Paigos as a Hybrid Supplier (including the validity, interpretation, breach, or termination of these Terms) shall be resolved by binding arbitration rather than in court, except that either party may assert claims in small claims court if they qualify.Governing Rules & Administration
The arbitration will be administered by the American Arbitration Association (AAA) in accordance with its Commercial Arbitration Rules (or Consumer Arbitration Rules, if applicable). The Federal Arbitration Act (FAA) governs the interpretation and enforcement of this arbitration agreement.Location & Procedures
Unless otherwise agreed by you and Paigos, the seat (or legal place) of arbitration shall be in California. The arbitrator’s decision shall be final and binding, and judgment on the award may be entered in any court having jurisdiction.Class Action Waiver
To the fullest extent permitted by law, all disputes will be arbitrated on an individual basis. You and Paigos waive any right to bring or participate in a class, collective, or representative action, and the arbitrator shall not consolidate claims of more than one person.Waiver of Jury Trial
By agreeing to arbitration, both parties waive the right to a trial by jury or to participate in a class action for any dispute covered by this arbitration agreement.Governing Law
Except as provided by the FAA for arbitration proceedings, California law (without regard to its conflict of laws principles) governs these Terms and any dispute that might arise between you and Paigos. If a dispute for any reason proceeds in court rather than in arbitration, such dispute shall be filed exclusively in the state or federal courts located in California, and you consent to personal jurisdiction and venue in those courts.
12. COMPLIANCE WITH LAWS & REGULATIONS
Consumer Protection & Advertising Regulations: You shall comply with all relevant consumer protection and advertising regulations, including providing clear disclosures of your dual role as both the supplier and promoter of the listed Packages.
Tax Obligations: You are responsible for determining and fulfilling any tax obligations arising from your activities on the Platform, including income tax, VAT, sales tax, or any other applicable duties.
Travel Regulations: If offering travel services in specific jurisdictions, you must ensure compliance with local licensing requirements, travel agency laws, and other regulations.
13. CHANGES TO THESE TERMS
Right to Modify: Paigos reserves the right to modify or update these Terms at any time.
Notice: In the event of significant changes, Paigos will notify you via the email associated with your account or through a prominent notice on the Platform.
Acceptance of Changes: Your continued use of Paigos after any updated Terms go into effect constitutes your acceptance of such changes.

15. ACKNOWLEDGMENT
By registering as a Hybrid Supplier on Paigos, you acknowledge that you have read, understood, and agreed to these Terms of Service. If you do not agree with any part of these Terms, you must discontinue your participation on the Platform immediately.
